EDGAR Next: Time for Filers To Prepare for the Transition

Skadden, Arps, Slate, Meagher & Flom LLP

As we noted in the “Prepare for EDGAR Filer Access and Account Management Changes” section in our recent client alert, the Securities and Exchange Commission (SEC) has amended its filer access and account management requirements for its Electronic Data Gathering, Analysis and Retrieval (EDGAR) system. The new platform, EDGAR Next, impacts all entities and individuals that make SEC filings.

On March 24, 2025, the EDGAR Next system will go live, and existing SEC filers can start transitioning to the new system.

Existing SEC filers should confirm their EDGAR filing codes before March 24, 2025, to streamline the onboarding process. Filers should also decide who or which account administrator will be responsible for managing accounts, making SEC filings and providing annual confirmations on behalf of the filer. Individuals who will be responsible for managing accounts and making SEC filings on behalf of a filer should obtain Login.gov credentials before March 24, 2025.

The SEC’s webpage on EDGAR Next contains additional information on the logistics of the transition and how the EDGAR Next system works. The following two upcoming webinars will also provide helpful information regarding the transition:

  • On February 25, 2025, at 1 p.m. EST, Broadridge Financial Solutions will host a 30-minute webinar to help filers navigate the transition to EDGAR Next. Please use this link to register.
  • On February 27, 2025, at 3 p.m. EST, the Society for Corporate Governance will host a one-hour webinar to discuss how companies can prepare for the transition to EDGAR Next. Please use this link to register.

We will continue to monitor developments related to the EDGAR Next transition and follow up with any helpful additional information.
